TERMS AND CONDITIONS OF BUSINESS

These Terms and Conditions (“Terms”) govern the supply of electrical, renewable energy, maintenance, testing and associated services by BM GROUP LIMITED trading as BM Electricals (“BM Electricals”, “we”, “us” or “our”).
These Terms should be read together with any quotation, proposal, scope of works, specification, purchase order accepted by us or other written agreement relating to the Services.
DEFINITIONS
In these Terms:
“Client” means the individual, company, organisation, public authority, contractor or other entity engaging BM Electricals.
“Contract” means the agreement between BM Electricals and the Client incorporating these Terms together with the accepted quotation, proposal, scope of works or other agreed documentation.
“Services” means the electrical, renewable energy, testing, maintenance, installation, repair, inspection, design or associated services supplied by BM Electricals.
Services may include, without limitation:
Commercial electrical installations;
Electrical maintenance and reactive works;
Consumer unit and distribution board replacements;
Electrical Installation Condition Reports (EICRs);
Fixed-wire testing;
Emergency lighting;
Fire alarm electrical works;
Fault finding and remedial works;
EV charging installations;
Solar photovoltaic (PV) installations;
Battery energy storage systems;
Energy monitoring systems;
Electrical design and installation;
Inspection, testing and certification; and
General electrical contracting services.
“Works” means the Services, materials and equipment that BM Electricals has agreed to provide.
“Site” means the property or location where the Works are to be undertaken.
“Quotation” means any quotation, estimate, proposal or pricing document issued by BM Electricals.
“Variation” means any addition, omission, alteration or change to the agreed Works.
QUOTATIONS AND CONTRACT FORMATION
2.1 Unless otherwise stated, quotations are valid for 30 days from the date of issue.
2.2 A quotation is based on the information, drawings, specifications and Site conditions reasonably available to BM Electricals at the time it is prepared.
2.3 A Contract is formed when the Client:
accepts our quotation or proposal in writing;
instructs us to commence the Works;
pays a requested deposit; or
otherwise clearly authorises BM Electricals to proceed.
2.4 Acceptance of our quotation or instruction to commence work constitutes acceptance of these Terms.
2.5 Unless expressly included within our quotation, prices do not include additional or unforeseen works that could not reasonably have been identified before commencement.
2.6 Clerical, typographical or calculation errors in quotations may be corrected by BM Electricals.
2.7 Where a Client issues a purchase order containing its own terms, our Terms shall apply unless BM Electricals expressly agrees otherwise in writing.
PRICES AND VAT
3.1 Prices are exclusive of VAT unless expressly stated otherwise.
3.2 VAT will be charged at the applicable rate.
3.3 Our pricing is based upon the scope, quantities, Site conditions and information available when the quotation is prepared.
3.4 Where circumstances outside our reasonable control materially affect the cost of performing the Works, BM Electricals may provide a revised quotation or Variation before proceeding with the affected work.
DEPOSITS AND PAYMENT
4.1 BM Electricals may require a deposit before materials are ordered, appointments are confirmed or Works commence.
4.2 Unless otherwise agreed, BM Electricals may require a deposit of up to 50% of the Contract value.
4.3 The remaining balance shall be payable in accordance with the quotation or invoice. Where no separate payment schedule has been agreed, payment is due immediately following completion of the Works.
4.4 Larger projects may be subject to staged or milestone payments.
4.5 The Client must not withhold payment because of a minor defect or outstanding item that does not materially prevent use of the completed Works.
4.6 Any disputed invoice must be notified to BM Electricals promptly, stating the amount disputed and the reason for the dispute.
4.7 Undisputed amounts remain payable by their due date.
4.8 For business-to-business transactions, BM Electricals reserves its statutory rights to claim interest, compensation and reasonable recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, where applicable.
4.9 For other overdue sums, BM Electricals may charge interest where permitted by law and in accordance with the Contract.
4.10 BM Electricals may suspend further Works where invoices or agreed stage payments remain overdue.
OWNERSHIP OF MATERIALS
5.1 To the extent permitted by law, materials and equipment supplied by BM Electricals remain our property until all sums due in respect of those materials and equipment have been paid in full.
5.2 Risk in installed equipment and materials passes to the Client upon installation or delivery to the Site, unless otherwise agreed.
5.3 The Client must take reasonable steps to protect materials and equipment delivered to the Site.
ACCESS AND CLIENT RESPONSIBILITIES
6.1 The Client must provide BM Electricals and its authorised personnel with reasonable, safe and timely access to the Site.
6.2 The Client is responsible for ensuring that:
the Site is reasonably safe and accessible;
working areas are cleared where reasonably necessary;
relevant permissions and information are provided;
known hazards are disclosed;
asbestos information is provided where required;
parking or access restrictions are disclosed; and
BM Electricals is informed of any Site rules or permit requirements.
6.3 Additional costs caused by restricted access, delays, aborted attendance or circumstances under the Client’s control may be chargeable.
APPOINTMENTS, CANCELLATIONS AND ABORTIVE VISITS
7.1 Appointments are scheduled subject to engineer availability and Site conditions.
7.2 Where a Client cancels an agreed appointment with less than 48 hours’ notice, BM Electricals may charge a cancellation fee of £100 plus VAT, where applicable and reasonable.
7.3 Where an engineer attends but cannot carry out the Works because access has not been provided or the Site is not ready, an abortive attendance charge may apply.
7.4 Different cancellation arrangements may apply to projects where materials, scaffolding, specialist equipment or subcontractors have already been booked.
7.5 Nothing in this section limits any statutory cancellation rights available to a consumer.
SCOPE OF WORKS
8.1 BM Electricals is only responsible for Works expressly included within the agreed scope.
8.2 Unless expressly included, our quotation does not include:
building works;
decoration;
plastering;
making good beyond the stated scope;
asbestos removal;
structural alterations;
utility-provider charges;
DNO charges;
specialist access equipment;
scaffolding; or
other third-party services.
8.3 Where any of these items are specifically included in our quotation, they will form part of the Contract.
VARIATIONS AND ADDITIONAL WORKS
9.1 Any change to the agreed scope may constitute a Variation.
9.2 BM Electricals may charge for additional labour, materials, equipment, attendance and associated costs resulting from a Variation.
9.3 Wherever reasonably practicable, additional costs will be communicated to the Client before the additional work proceeds.
9.4 Where immediate additional work is reasonably necessary for safety, compliance or to prevent damage, BM Electricals will seek the Client’s authority where reasonably practicable.
UNFORESEEN CONDITIONS
10.1 Electrical work may reveal defects or conditions that could not reasonably have been identified during an initial inspection.
These may include:
damaged or deteriorated wiring;
inadequate earthing or bonding;
concealed junctions;
non-compliant previous installations;
asbestos or suspected asbestos;
structural defects;
inaccessible cabling;
defective distribution equipment; or
inadequate existing electrical capacity.
10.2 Such conditions are not automatically included within the original quotation.
10.3 BM Electricals will notify the Client where additional work is reasonably required and may issue a Variation or revised quotation.
ELECTRICAL SAFETY AND COMPLIANCE
11.1 BM Electricals will perform electrical Works with reasonable care and skill and in accordance with applicable legal and technical requirements.
11.2 Electrical installation work will be undertaken with reference to BS 7671 Requirements for Electrical Installations as applicable to the Works at the relevant time.
11.3 Existing installations outside our agreed scope remain the Client’s responsibility.
11.4 BM Electricals cannot certify or accept responsibility for electrical work performed by others unless expressly contracted to inspect, test or certify that work and legally permitted to do so.
11.5 Where testing identifies dangerous or potentially dangerous conditions, BM Electricals may recommend isolation or immediate remedial action.
EICRs, TESTING AND INSPECTIONS
12.1 An EICR or other inspection reflects the condition of the accessible installation at the time of inspection.
12.2 Inspection and testing may be limited by accessibility, operational restrictions, Client instructions or Site conditions.
12.3 Unless specifically included, remedial works identified during an EICR are not included within the inspection fee.
12.4 BM Electricals may provide a separate quotation for recommended remedial works.
SOLAR PV, BATTERY STORAGE AND EV CHARGING
13.1 Renewable-energy and EV installations may be subject to additional requirements imposed by:
Distribution Network Operators (DNOs);
energy suppliers;
local authorities;
building control;
equipment manufacturers;
network operators; and
other relevant third parties.
13.2 BM Electricals cannot guarantee the timeframe within which a third party will process or approve an application.
13.3 Where an installation can lawfully operate subject to temporary export or operating limitations pending approval, BM Electricals may configure the system accordingly.
13.4 Any estimated energy generation, financial saving, payback period, battery performance or EV charging performance is an estimate unless expressly guaranteed in writing.
13.5 Actual performance may vary because of weather, shading, electricity consumption, tariffs, grid conditions, equipment settings and other factors outside BM Electricals’ reasonable control.
DNO AND THIRD-PARTY APPROVALS
14.1 Where BM Electricals agrees to submit a DNO or other third-party application on behalf of the Client, BM Electricals will use reasonable care in preparing and submitting the application.
14.2 Approval remains entirely within the control of the relevant third party.
14.3 BM Electricals shall not be responsible for delays caused by a DNO, energy supplier, local authority, manufacturer, network operator or other third party.
14.4 Any additional works required as a condition of approval that were not included within the original scope may be treated as a Variation.
SCAFFOLDING AND ACCESS EQUIPMENT
15.1 Where scaffolding, lifting equipment or specialist access equipment is required, this will be stated within the quotation where known.
15.2 Where BM Electricals arranges third-party scaffolding or specialist access, the Works may be dependent upon the availability and performance of that supplier.
15.3 Additional charges may arise where scaffolding must remain in place longer because of Client-requested changes or circumstances outside BM Electricals’ reasonable control.
PROGRAMME AND COMPLETION DATES
16.1 Any commencement or completion date is an estimate unless expressly agreed in writing as a fixed contractual deadline.
16.2 BM Electricals will use reasonable endeavours to meet agreed programmes.
16.3 BM Electricals shall not be responsible for delays caused by matters outside its reasonable control, including:
adverse weather;
material shortages;
manufacturer delays;
DNO or utility delays;
Site access restrictions;
Client variations;
other contractors;
hidden Site conditions;
industrial disputes;
transport disruption; or
events of force majeure.
16.4 Where such an event occurs, the programme may be reasonably extended.
SUBCONTRACTORS
17.1 BM Electricals may use appropriately competent employees, subcontractors or specialist contractors to deliver part of the Works.
17.2 BM Electricals remains responsible for the Services it has contracted to provide, subject to these Terms.
HEALTH AND SAFETY
18.1 BM Electricals takes health and safety seriously and will perform Works in accordance with applicable health and safety requirements.
18.2 The Client must disclose known Site hazards before Works commence.
18.3 BM Electricals may suspend or refuse to perform work where it reasonably believes conditions present an unacceptable risk to employees, contractors, occupants or the public.
18.4 Any resulting delay or additional cost caused by unsafe Site conditions outside BM Electricals’ control may be chargeable.
COMPLETION, CERTIFICATION AND HANDOVER
19.1 Where applicable to the Works, BM Electricals will provide appropriate electrical certification following satisfactory completion, testing and receipt of amounts due.
19.2 Minor snagging items that do not materially affect safe operation will not prevent the Works from being treated as substantially complete.
19.3 The Client must notify BM Electricals promptly of any alleged defect or outstanding item and provide reasonable access for inspection and rectification.
WARRANTIES
20.1 BM Electricals warrants that its Services will be performed with reasonable care and skill.
20.2 Manufacturer warranties applicable to equipment supplied will be passed to the Client where appropriate and subject to the manufacturer’s terms.
20.3 Manufacturer warranties are provided by the relevant manufacturer and are not warranties given independently by BM Electricals.
20.4 Warranty cover does not apply to defects caused by:
misuse;
accidental damage;
unauthorised alteration;
work undertaken by third parties;
failure to follow manufacturer instructions;
external electrical supply problems;
environmental damage; or
circumstances outside BM Electricals’ reasonable control.
20.5 Clients should notify BM Electricals of suspected defects as soon as reasonably practicable after discovery.
LIABILITY
21.1 Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
21.2 BM Electricals shall not be responsible for defects in pre-existing installations except to the extent that BM Electricals has expressly contracted to remedy them.
21.3 For business Clients, BM Electricals shall not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of contract or loss of anticipated savings, to the extent permitted by law.
21.4 Any limitation or exclusion of liability contained in these Terms shall apply only to the extent permitted by applicable law.
21.5 Nothing in these Terms affects a consumer’s statutory rights.
DAMAGE AND MAKING GOOD
22.1 Electrical installation work may require drilling, cutting, lifting floor coverings, accessing ceilings, chasing walls or otherwise gaining access to concealed electrical systems.
22.2 BM Electricals will take reasonable care to minimise unnecessary damage.
22.3 Making good, plastering, decorating, carpentry or specialist finishes are excluded unless expressly included within the quotation.
CLIENT-SUPPLIED EQUIPMENT
23.1 Where the Client supplies equipment or materials, BM Electricals does not accept responsibility for their quality, suitability, compatibility or manufacturer warranty.
23.2 Additional time required because Client-supplied equipment is incorrect, defective, incomplete or incompatible may be chargeable.
23.3 BM Electricals may refuse to install equipment that it reasonably considers unsafe, unsuitable or non-compliant.
INSURANCE
BM Electricals maintains appropriate business insurance for its operations, including public liability insurance and, where applicable, professional indemnity insurance.
Evidence of current cover can be provided upon reasonable request.
CONSUMER RIGHTS
25.1 Where the Client is a consumer, BM Electricals will provide Services in accordance with applicable consumer protection legislation, including the Consumer Rights Act 2015.
25.2 Nothing in these Terms excludes, restricts or overrides any statutory rights that cannot lawfully be excluded.
25.3 Where a consumer Contract is entered into at the Client’s home, online or away from BM Electricals’ business premises, statutory cancellation rights may apply under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
25.4 Where the Client expressly requests Works to commence during an applicable cancellation period, the Client may be required to pay for Services properly supplied before cancellation, to the extent permitted by law.
BUSINESS CLIENTS
26.1 Where the Client contracts with BM Electricals wholly or mainly for business purposes, the Client confirms that it is acting as a business and not as a consumer.
26.2 Business Contracts may be subject to separately agreed payment schedules, service levels, maintenance agreements, framework terms or project-specific conditions.
26.3 Where project-specific terms have been expressly agreed in writing, those terms shall take precedence to the extent of any direct conflict with these Terms.
SUSPENSION AND TERMINATION
27.1 BM Electricals may suspend performance where:
payment is materially overdue;
Site conditions are unsafe;
access is repeatedly prevented;
the Client commits a material breach of the Contract; or
continuing the Works would breach applicable law or safety requirements.
27.2 Where reasonably practicable, BM Electricals will provide notice before suspension.
27.3 Either party may terminate the Contract following a material breach that remains unremedied after reasonable written notice, where appropriate.
27.4 Termination does not affect amounts already due for Services, materials, committed third-party costs or other properly incurred costs.
FORCE MAJEURE
BM Electricals shall not be liable for failure or delay in performing its obligations where caused by events beyond its reasonable control, including severe weather, fire, flood, epidemic, industrial action, utility failure, government action, transport disruption, material shortages or other comparable events.
INTELLECTUAL PROPERTY
Unless otherwise agreed, drawings, designs, calculations, specifications, reports, proposals and other documents prepared by BM Electricals remain the intellectual property of BM Electricals or its licensors.
The Client may use documents supplied for the purposes of the relevant project unless otherwise agreed.
DATA PROTECTION AND PRIVACY
30.1 BM Electricals will process personal information in accordance with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.
30.2 Personal information may be processed for purposes including:
quotation and contract administration;
service delivery;
certification;
warranty administration;
DNO or network applications;
invoicing and payment;
regulatory compliance; and
customer communications.

COMPLAINTS AND DISPUTES
31.1 Clients should raise any concern with BM Electricals as soon as reasonably practicable so that we have an opportunity to investigate and resolve it.
31.2 Complaints should be submitted using the contact details published on our website or contractual documentation.
31.3 BM Electricals will seek to resolve complaints fairly and within a reasonable period.
31.4 Where applicable, a Client may have access to an alternative dispute resolution, certification-scheme or consumer-code complaints procedure.
COMMUNICATIONS
Notices and contractual communications may be sent by email, post or another communication method agreed between the parties.
The Client is responsible for ensuring that the contact information supplied to BM Electricals is accurate and current.
SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be treated as modified or removed to the minimum extent necessary, without affecting the remaining provisions.
WAIVER
Failure or delay by BM Electricals to exercise any contractual right does not constitute a waiver of that right.
THIRD-PARTY RIGHTS
Unless expressly stated otherwise, a person who is not a party to the Contract shall have no right to enforce its terms under the Contracts (Rights of Third Parties) Act 1999.
ENTIRE AGREEMENT – BUSINESS CLIENTS
For business Clients, the Contract constitutes the agreement between the parties concerning the relevant Works and supersedes prior discussions or correspondence concerning the same subject matter, except in the case of fraud or fraudulent misrepresentation.
Nothing in this provision limits rights that cannot lawfully be excluded.
GOVERNING LAW AND JURISDICTION
37.1 These Terms and the Contract are governed by the laws of England and Wales.
37.2 The courts of England and Wales shall have jurisdiction, subject to any mandatory rights available to consumers under applicable law.

IMPORTANT
These Terms form part of the contractual relationship between BM Electricals and its Clients. Clients should read them together with the relevant quotation, proposal and scope of works before instructing BM Electricals to proceed.
Acceptance of a quotation, payment of a deposit or instruction to commence the Works constitutes acceptance of these Terms, subject always to applicable statutory consumer rights.
